You hereby agree to indemnify, defend, and hold harmless INDSpiritual, its directors, officers, employees, agents, licensors, attorneys, independent contractors, providers, subsidiaries, and affiliates from and against any and all claims, loss, expense or demand of liability, including attorneys' fees and costs incurred, arising from Your use or inability to use the Services.

Dispute Resolution and Governing Law


In case of any dispute, differences or claims arising out of or under this Agreement, the same shall be resolved by arbitration of a sole arbitrator to be appointed by INDSpiritual Tech Private Limited, which shall be accepted to the User. The arbitration shall be conducted in accordance with the Indian Arbitration & Conciliation Act, 1996, with amendments thereto. The venue of the arbitration shall be Delhi, India. The language of the arbitration shall be English. For any interim relief, the courts at Delhi, India shall have exclusive jurisdiction. This Agreement will be subject to Indian laws.

Special Promotions


INDSpiritual may from time to time provide certain promotional opportunities to INDSpiritual Customer All promotions will be run at the sole discretion of INDSpiritual, and can be activated, modified or removed at anytime by INDSpiritual without advance notification.
Without limitingINDSpiritual's other rights and remedies,INDSpiritual may terminate such code and/or Your account for any breach of this section.

No Agency


No independent contractor, agency, partnership, joint venture, employer-employee or franchiser- franchisee relationship is intended or created by this Agreement.

Assignment


You cannot assign or otherwise transfer this Agreement, or any rights granted hereunder or any obligations, to any third party and any such assignment or transfer or purported assignment or transfer shall be void ab-initio.INDSpiritual's rights and/or obligations under the Agreement are freely assignable or otherwise transferable to any third parties without the requirement of seeking Your prior consent.INDSpiritual's may inform You of such assignment or transfer in accordance with the notice requirements under the Agreement on best effort basis.

Severability


If, for any reason, a court of competent jurisdiction finds any provision of the Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties as reflected by that provision, and the remainder of the Agreement shall continue in full force and effect.INDSpiritual's may amend in a reasonable manner such provision to make it enforceable and such amendment will be given effect in accordance with the amendment terms of this Agreement.

Waiver


Any failure or delay by a party to enforce or exercise any provision of the Agreement, or any related right, shall not constitute a waiver by such party of that provision or right. The exercise of one or more rights hereunder shall not be a waiver of, or preclude the exercise of, any rights or remedies available to such party under this Agreement or in law or at equity. Any waiver by a party shall only be made in writing and executed by a duly authorized officer of such party.

Force Majeure


If performance of any service or obligation under this Agreement by theINDSpiritual is prevented, restricted, delayed or interfered with by reason of labor disputes, strikes, acts of God, floods, lightning, severe weather, shortages of materials, rationing, utility or communication failures, earthquakes, war, revolution, acts of terrorism, civil commotion, acts of public enemies, blockade, embargo or any law, order, proclamation, regulation, ordinance, demand or requirement having legal effect of any government or any judicial authority or representative of any such government, or any other act whatsoever, whether similar or dissimilar to those referred to in this clause, which are beyond the reasonable control ofINDSpiritual's or its third parties performing such services as INDSpiritual Service Provider and could not have been prevented by reasonable precautions (each, a "Force Majeure Event"), thenINDSpiritual's shall be excused from such performance to the extent of and during the period of such Force Majeure Event.INDSpiritual's shall exercise all reasonable commercial efforts to continue to perform its obligations hereunder.
INDSpiritual takes no responsibility for money paid to INDSpiritual Service Provider without informing INDSpiritual.IND Spiritual has no control over payments made in cash to INDSpiritual Service Provider and hence it is important that payments may be made directly to INDSpiritual through online payment option asINDSpiritual website.
INDSpiritual strongly discourages any direct contact with its Service Provider or any call booked directly by the INDSpiritual Customer with theINDSpiritual Service Provider, as in such cases INDSpiritual has no control on whatsoever situation or condition.
INDSpiritual discourages any tips or reward to any of its Service Provider.However if anyINDSpiritual Customer is doing so, it is completely based on their own will and volition.
INDSpiritual Service Provider is liable for any damage caused by him while rendering Services. On the occurrence of any such event, theINDSpiritual Customer is requested first to contact INDSpiritual customer care and then may lodge a complaint against theINDSpiritual Service Provider, if the issue is not resolved amicably.
INDSpiritual does not accept any donations, chanda, chadhawa, etc., and in case You find anyone mis-representing us – please let us know at the earliest at indspiritual.com . No charges, other than those specified herein shall be paid by You to INDSpiritual.
INDSpiritual Customers are requested to report/inform us immediately for any misconduct or unsatisfied behavior of any of our INDSpiritual Service Provider so that INDSpiritual can take action for improvement. However if the misconduct is falling in the category of breach of law, thenINDSpiritual Customer may deal with the same as per the applicable laws directly with the INDSpiritual Service Provider and INDSpiritual will not be responsible in such case.
Also, in case any criminal act is committed by the INDSpiritual Service Provider while providing Services, theINDSpiritual Customer, at its own will can take direct action under the laws of the land and also keep INDSpiritual informed on full details of the same. INDSpiritual will not be party to any such action.

Changes to this Agreement and the Service


INDSpiritual reserves the right, at its sole and absolute discretion, to change, modify, add to, supplement or delete any of the terms and conditions of this Agreement (including the Privacy Policy) at any time, effective with or without prior notice and such changes shall be binding on the User immediately, unless otherwise stated. If any future changes to this Agreement are unacceptable to You or cause You to no longer be in compliance with this Agreement, You must terminate, and immediately stop using, the Service. Your continued use of the Service following any revision to this Agreement constitutes Your complete and irrevocable acceptance of any and all such changes. INDSpiritual may change, modify, suspend, or discontinue any aspect of the Service at any time.INDSpiritual may also impose limits on certain features or restrict Your access to parts or all of the Service without notice or liability.
